Terms of use.

Welcome to Whereabouts. These Terms of Use (“Terms”) are a binding agreement between you and Whereabouts Inc. (“Whereabouts,” “we,” “us,” or “our”) and govern your access to and use of our websites (including whereabouts.us and invite.whereabouts.us), mobile applications, and related services (together, the “Service”).
By creating an account, hosting or attending an event, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You must be at least 18 years old (or the age of majority where you live) to use the Service.
1. Our role in events
Whereabouts is a technology platform that helps independent hosts plan, promote, manage, and get paid for events, and helps guests discover and attend them. Whereabouts is not the organizer, host, or operator of any event listed on the Service, and is not a party to any agreement between a host and a guest.
Hosts are solely responsible for their events, including the content, safety, accuracy of listings, scheduling, pricing, cancellations, communications, and the terms on which they admit guests. Guests are responsible for evaluating whether an event is right for them. Any dispute arising out of an event — including cancellations, no-shows, refunds, conduct at the event, or the accuracy of a listing — is between the host and the guest, and Whereabouts is not responsible for resolving it. We may, but are not obligated to, help facilitate a resolution.
We do not endorse any host, guest, event, or user-provided content, and we make no representations about them.
2. Accounts
To use most features, you must create an account and provide accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at the address in Section 21 if you suspect unauthorized use.
You may not share your account, create an account using another person's information, or maintain more than one account without our permission. We may refuse, suspend, or reclaim any username at our discretion.
3. Content
The Service allows you to post, upload, and share information and materials, including event listings, images, text, and messages (“User Content”). You are solely responsible for your User Content and for ensuring you have all rights necessary to post it.
By posting User Content, you grant Whereabouts and, where relevant, the hosts and guests you interact with, a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, display, and distribute that User Content for the purpose of operating, providing, promoting, and improving the Service. This license continues for User Content that you have shared with others or that others have stored, even after you remove it from your account.
You represent that your User Content does not infringe any third party's rights and does not violate these Terms or any applicable law.
4. Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, deceptive, or harmful purpose;
- post content that is illegal, infringing, defamatory, obscene, harassing, hateful, or that violates the rights of others;
- host or promote events that are illegal or that facilitate illegal activity;
- misrepresent your identity, your affiliation, or the nature of an event;
- attempt to damage, disable, overburden, probe, or gain unauthorized access to the Service or its systems;
- scrape, crawl, or harvest data from the Service except through interfaces we authorize;
- circumvent our fees, payment systems, or any security or access controls; or
- access the Service other than through the interfaces and instructions we provide.
We may investigate and take action — including removing content, suspending, or terminating accounts — for any violation of this Section.
5. Contacts and consent
If you import, upload, or invite contacts through the Service, you represent that you have the necessary consent from those individuals to do so and to send them communications through the Service. You may not use the Service to send unsolicited or unlawful messages. Misuse of contact or invitation features may result in suspension or termination.
6. Payments, fees, and payouts
Whereabouts provides tools that let hosts sell tickets and collect payments from guests, and that let guests pay to attend events. Payment processing is performed by one or more third-party payment providers, including Stripe, and your use of those services may be subject to their terms.
Fees. For paid events, Whereabouts charges hosts a platform fee (currently 3% of the ticket price, unless we agree otherwise or state a different amount at checkout). Payment processing fees charged by our providers may also apply. We will disclose applicable fees before you complete a transaction. We may change our fees on a prospective basis by updating them in the Service.
Payouts.Subject to successful payment, verification, and any holds we reasonably apply for fraud prevention, chargebacks, or compliance, we (or our payment providers) will remit ticket proceeds, less applicable fees, to hosts. Payout timing depends on your account status, verification, and our providers' processes. Hosts are responsible for providing accurate payout and tax information.
Guest charges and refunds. When you buy a ticket, you authorize us and our payment providers to charge your payment method for the total amount shown, including any applicable taxes and fees. Refund and cancellation policies are set by the host and disclosed on the event listing. Cancellations are handled as a request to the host, who decides whether to approve it based on their own cancellation policy. Refunds are the responsibility of the host. Whereabouts is not obligated to issue refunds except as required by law, and platform and processing fees may be non-refundable.
Chargebacks and reversals.If a guest initiates a chargeback or a payment is reversed, we may deduct the corresponding amount (plus any related fees) from the host's proceeds or otherwise recover it from the responsible party.
Taxes. You are responsible for determining, collecting, reporting, and remitting any taxes that apply to your transactions and events. Whereabouts is not responsible for your tax obligations.
7. Text messaging (SMS)
- By providing your phone number and agreeing to receive text messages, you consent to receive transactional SMS from Whereabouts, including one-time login codes, event notifications, RSVP confirmations, and event reminders.
- Message and data rates may apply. Message frequency varies.
- Reply STOP to any message to opt out at any time. Reply HELP for assistance, or email privacy@whereabouts.us.
- We do not send marketing or promotional text messages.
- We do not share your phone number or SMS consent with third parties for marketing purposes.
8. AI features (Zena)
- Zena is an optional AI co-host that helps hosts plan, fill, and run their events. It suggests and drafts, but never changes anything or contacts anyone on your behalf without your explicit confirmation.
- To help hosts understand who might be a good fit for an event, Zena may use the social links and handles you choose to add to your own profile to look up publicly available information about you, such as your occupation. It only uses information you have chosen to publish, and shows it only to hosts in your network. You can turn this off at any time in Settings ("let zena look me up"), and we will not look you up while it is off.
- AI-generated suggestions and summaries can be incomplete or inaccurate and are not a substitute for your own judgment.
9. Imported events and third-party content
- Some listings on Whereabouts are imported from public event pages published by venues, galleries, theaters, and city guides. We show the essentials (title, date, venue, a short description, and an image) and always link to the official event page.
- That content belongs to its organizers. We display it to help people find and attend their events, not to claim it as ours.
- If you are an organizer or rights holder and want a listing corrected or removed, email hello@whereabouts.us and we will handle it promptly.
10. Links to other sites and third-party services
The Service may contain links to, or integrate with, third-party websites, applications, and services that we do not control (including payment providers, mapping, calendar, and social media integrations). We are not responsible for the content, policies, or practices of any third party. Your use of a third-party service is governed by that third party's terms and privacy policy, and is at your own risk.
11. Intellectual property
The Service, including its software, design, text, graphics, logos, and other content we provide (excluding User Content), is owned by Whereabouts or its licensors and is protected by intellectual property and other laws. “Whereabouts” and our related names and logos are trademarks of Whereabouts Inc. You may not use them without our prior written permission.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms. Except as expressly permitted, you may not copy, reproduce, republish, distribute, or create derivative works from any part of the Service without our written consent.
12. Copyright infringement
We respect intellectual property rights and expect our users to do the same. If you believe content on the Service infringes your copyright, send a notice to the contact in Section 21 that includes: identification of the copyrighted work; identification of the allegedly infringing material and its location on the Service; your contact information; a statement of your good-faith belief that the use is not authorized; a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner's behalf; and your physical or electronic signature. We may remove infringing material and terminate the accounts of repeat infringers.
13. Feedback and submissions
If you send us feedback, ideas, or suggestions about the Service (“Submissions”), you agree that they are non-confidential and that we may use them for any purpose without any obligation or compensation to you. You assign to us all rights in your Submissions to the extent needed for us to use them freely.
14. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WHEREABOUTS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, timely, error-free, or that any content (including event listings and host-provided information) is accurate or complete. You use the Service, and attend or host any event, at your own risk.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WHEREABOUTS AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY EVENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES WE RECEIVED FROM YOU IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless Whereabouts and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your User Content; any event you host or attend; your violation of these Terms; or your violation of any law or the rights of any third party.
17. Export controls and sanctions
You represent that you are not located in, and are not a national or resident of, any country subject to U.S. embargo or sanctions, and that you are not on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws.
18. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may stop using the Service at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, payment obligations, and dispute resolution — will survive.
19. Governing law and disputes
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Except where prohibited, you and Whereabouts agree that any dispute will be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction. Any claim must be brought within one year after it arises, or it is permanently barred.
20. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. We may assign these Terms without restriction; you may not assign them without our consent. Our failure to enforce any right is not a waiver. These Terms, together with any policies we reference (including our Privacy Policy), are the entire agreement between you and Whereabouts regarding the Service.
We may modify these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after changes take effect means you accept the updated Terms.
